Contracts written for the day things go wrong.
A contract is quiet until there is a problem. As arbitrators, we read contracts at that moment every week. So we write yours to hold up when it is tested.
A contract, through our eyes.
Six weak spots we find again and again. Tap a marked line to see the problem and the fix.
Service Agreement
This agreement is made between the Client and the Contractor.
2. The Contractor will provide the services described in the attached proposal.
5. Each party keeps the other's information confidential.
Who exactly signed?
Without full legal names, registration numbers and addresses, you may not be able to prove who you contracted with.
We name each party with its registry details and who signs for it.
Line 3 · Payment"Reasonable" is a lawsuit.
Vague payment terms are the most common source of disputes we see. Nobody agrees on what is reasonable once money is late.
We set the amount, currency, dates, and the penalty for late payment.
Line 4 · LanguageOne language is not enough here.
Armenian authorities and courts work in Armenian. A contract only in English needs translation at the worst moment.
We draft in two languages and state which one wins if they differ.
Line 6 · Ending"At any time" cuts both ways.
Your partner can walk out tomorrow, and you may have no claim for the work in progress.
We add notice periods, grounds, and what is paid on exit.
Line 7 · Disputes"Court or arbitration" means neither.
A clause that offers both can be ruled invalid, and you start with a fight about where to fight.
We write one clear forum. See our clause builder.
Line 8 · SigningWho had the power to sign?
If the signer was not authorized by the company, the other side may deny the whole contract.
We check the director's powers or the power of attorney before signing.
The contracts we write most.
Each is drafted under Armenian law, for your deal, not copied from a template.
Commercial and supply
Sales, supply, distribution and agency. Delivery terms, risk, warranties and what happens when goods are late or wrong.
Investment and shareholder
Share purchases, joint ventures and shareholder agreements. Who decides, who can sell, and how a partner leaves.
Employment
Contracts that follow the Armenian Labour Code, including for foreign staff whose residence depends on the job.
Services and consulting
Scope, milestones, acceptance, payment and ownership of the work. Clear enough that both sides know when the job is done.
Lease
Office, shop and home leases. Deposit, repairs, rent changes and the legal address your company needs.
Ready-made and AI-written contracts often do not fit Armenian law. They read well and fail when you need them. A review costs far less than the dispute it prevents.
Contract questions.
Send us the draft you have. We tell you what we would change and what it costs.
Get a reviewYes. We mark the risks, suggest new wording and explain each change, so you can negotiate with confidence.
Two private companies can usually choose the language. But some contracts, such as employment and those filed with the authorities, need Armenian. A two-language contract is the safe choice.
In cross-border contracts the parties can often choose the governing law. Some matters, such as Armenian property and employment, follow Armenian law anyway. We tell you which parts can move.
Most business contracts are valid with signatures alone. Some deals, such as certain property transfers, need a notary. We tell you before you sign.
It depends on the length and the deal. We give you the date and the fee in writing when you send the document.
